These Terms of Service ("Terms") govern access to and use of AVERIFY, an agentic RTL/testbench verification platform operated by NanometerChip (the "Service"). By creating an organization, accepting an invite, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. If you do not agree, do not use the Service.
1. The Service
AVERIFY plans, drafts, simulates, and iteratively repairs hardware-design testbenches against RTL you submit, closing on functional coverage and check results. The Service is provided on a per-organization basis: every account belongs to an organization, and access to that organization's data is governed by the roles described in Section 3.
2. Eligibility and Registration
You must provide accurate registration information (username, email where given, and a password meeting the Service's minimum requirements) and keep your credentials confidential. You are responsible for all activity that occurs under your account, including actions taken via a personal API token you generate.
3. Organizations, Roles, and Accounts
Each organization has one or more owners, who may designate admins and invite members. An organization's owner(s) are responsible for:
- the members they invite and the roles/permissions they grant them;
- ensuring only authorized personnel hold owner or admin access;
- the organization's usage, billing, and compliance with these Terms as a whole.
We are not responsible for disputes between members of the same organization over access, billing, or data within that organization.
4. Fees, Credits, and Billing
Verification runs are metered and billed against a prepaid credit balance, at a rate that depends on your organization's plan (Free, Pro, or Enterprise). Current rates, balance, and usage history are visible at all times in your organization's Admin → Billing panel — we do not bill for anything not reflected there. Credits are non-refundable except where required by applicable law. We may change plan pricing prospectively; changes will not retroactively alter amounts already billed.
5. Your Content
"Your Content" means the RTL, specifications, and any other materials you submit to the Service, and the testbenches, analyses, and results the Service generates from them for your organization. As between you and us, you retain all right, title, and interest in Your Content. You grant us a limited license to host, process, and transmit Your Content (including to the third-party model providers described in Section 6) solely to provide, maintain, and improve the Service for your organization.
You represent that you have the necessary rights to submit Your Content and that doing so does not infringe or misappropriate any third party's intellectual property or confidentiality rights.
6. Third-Party Services
The Service uses third-party large-language-model providers to draft and repair testbenches; submitting RTL or a specification necessarily transmits that content to the configured provider for processing. See the Privacy Policy for how this data is handled and retained.
7. Acceptable Use
You will not use the Service to:
- submit content you do not have the rights to, or that infringes a third party's rights;
- attempt to circumvent usage limits, credit metering, or access controls;
- probe, scan, or interfere with the Service's infrastructure or other organizations' data;
- use the Service to build a directly competing product using our non-public materials;
- violate applicable law in connection with your use of the Service.
8. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Verification results, including a "closed" or "passed" status and reported coverage, are generated by an automated, AI-assisted process and do not constitute a guarantee that a design is correct, complete, or fit for fabrication or deployment. You remain solely responsible for your own engineering verification and sign-off process.
9. Limitation of Liability
To the maximum extent permitted by applicable law, NanometerChip will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us for the Service in the three (3) months preceding the claim.
10. Indemnification
You will indemnify and hold NanometerChip harmless from any claim arising from Your Content, your violation of these Terms, or your violation of any third party's rights.
11. Suspension and Termination
We may suspend or terminate access to the Service for an organization that materially violates these Terms, with notice where reasonably practicable. You may stop using the Service, or delete your own account, at any time — see the Privacy Policy for what happens to your data when you do. Billing records tied to completed runs are retained after account or organization deletion for accounting and legal-compliance purposes.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to organization owners (by email, where an address is on file, and by updating the "Effective date" above). Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in India.
